The Assistant General Counsel - Finance will lead project finance and tax monetization transactions while collaborating with senior leadership and other stakeholders to support the company's mission.

Responsibilities

• Primary internal legal advisor on all of Zelestra’s back-leverage, construction/term, tax equity bridge, and tax credit transfer bridge financings
• Provide advice regarding transaction structuring and execution
• Provide advice regarding equipment and invoice finance transactions
• Coordinate borrower diligence responses
• Coordinate satisfaction of closing conditions (real estate, permitting, etc.)
• Oversight of External Counsel
• Review, draft and negotiate a broad range of commercial agreements
• Advise on site control, interconnection, permitting, and environmental matters
• Assist with M&A transactions
• Support corporate governance, and development of internal policies

Skills

• Juris Doctor (JD) from an accredited law school; active bar membership in at least one U.S. state
• 8–10+ years of legal experience, ideally with a mix of law firm and in‑house roles
• Deep experience with project finance and tax monetization structures
• Expertise in renewable energy development
• Strong analytical, communication, and stakeholder‑management skills
